1. Introduction

Gravity Game Vision, Inc. ('GGV' or 'We') provides various games, including, without limitation, pc online games, mobile games, web games, HTML 5 games, developed and designed by Gravity Company Limited ('Gravity-Korea'), including related services and products.

The terms of the games and services can be accessed on or through the website. https://gnjoy.hk/ operated by GGV and/or Gravity-Korea (collectively, the "Website"). GGV owns several other domain names associated with the websites listed above, so GGV may from time to time add new websites which may be identified or not specified above

This Terms of Service ('TOS') sets out the terms and conditions to apply only to your use of the Games and Services on or through the Websites maintained by GGV and/or Gravity-Korea.

Before proceeding with any registration, please read this TOS and Privacy Policy. https://gnjoy.hk/privacy in detail as this TOS affects the rights and obligations of users in connection with the use of our Games and Services. The following matters are essential to this Agreement.

• ◆ User's age : The Games and Services accessible on or through our Website are intended for individuals of all ages unless otherwise specified in the individual Games served.
• ◆ Eligibility : Our Service is available only to individuals ('Eligible User') who reach the age ('Competent Age') to give valid consent under his/her relevant law or who do not reach the Competent Age but get valid consent from their legal representative (e.g. parents). Only Eligible Users may use any of Sites; may create an account for or use any of our Service; may make any purchases through our store, and eligible to enter any of our sweepstakes or promotions. So please ask your legal guardian to fill in and sign Guardian's consent form.
• ◆ European Citizens ('European Users') : GGV does not allow citizens of European countries except for the Russian Federation and the Commonwealth of Independent States (CIS) to use our Games and Services.
• ◆ Other Users Prohibited by the United States : GGV does not allow persons and entities prohibited by the United States('US Prohibited Users') to use our Games and Services. US Prohibited Users shall mean (i) users residing in the countries embargoed by the United States or the countries set forth on 'the U.S. Treasury Department's list of Specially Designated Nationals or (ii) users listed in the U.S. Department of Commerce Denied Persons List or Entity List'.
• ◆ Ownership : You do not own (i) the account ; (ii) fictional character Items that are traded or stored on the server ; or (iii) other information contained on the servers and accounts.
• ◆ Amendments : GGV reserves the right to change and amend this TOS at any time. Without notifying the User in advance, The amended TOS will become effective immediately upon its posting on the Website. Therefore, it is the user's responsibility to check our Website regularly to be aware of any amendments. By continuing to use our Games and Services, you will be deemed to have accepted the changes and amendments by default.
• ◆ Terminated Users : The Users whose GGV account has been terminated, in any manner or for any reason, may no longer be able to access our Games and Services, including, without limitation, accessing the Games and Service through other accounts without the express written permission of GGV.

This TOS shall come into force from the ( 1 )th day of June 2022 onwards.

2. Definitions

unless the context requires otherwise. Definitions shall be as stated in this Article 2.

• a."User" means a person who registers for an account and game account for accessing and using our Games and Services available on or through the Website.
• b."Game" means a game designed, developed and/or licensed by Gravity-Korea which is our affiliate company established under the laws of the Republic of Korea.
• c."Services" means any services made available to users on or through the Website, such as forums, in-game levels, in-game objects and in-game points.
• d."Account" means the user account and game account registered by the User to access and use our Games and Services on or through the Website.
• e."Product" means the game items and credits and other merchandise available for purchase on or through the Website.
• f."Content" means all contents related to the Game and the Website, including but not limited to Items and fictional characters, data, dialogue, layout, script, artwork, illustrations, movies, videos, music, audio files, soundtracks, utility models, trademarks, trade name Trade dress, logo, software, intellectual property and technical data.
• g."Intellectual Property" means all forms of intellectual property in connection with the Games and the Website, including but not limited to copyrights, trademarks Service mark, patent, design, utility model, know-how, software, trade secret, trade dress, which are protected by the law of Hong Kong and the Republic of Korea, treaties and international laws.
• h."NPC" means non-player character which is any character in the game that is not controlled by User.

Reference to the singular includes the plural and vice versa.

3. Service Details

Subject to the terms and conditions set forth in this TOS and Privacy Policy, GGV grants you a non-exclusive right and license which cannot be transferred and revoked as follows:

• 3.1 Downloading and installing applications, games and related software (not including the source code) on the computer, mobile phones and any other devices permitted by GGV.
• 3.2 Accessing and using our services available on or through the Website, such as fictional item shops, community forums, and game forums; and
• 3.3 Purchasing our existing products such as game items and fictional characters.

4. User's Endorsements and Duties Related to Accounts

• 4.1 You represent that
   (1) You reach the Competent Age.
   (2) You are not a citizen of a European country except the Russian Federation and the CIS.
   (3) You are not the US Prohibited Users (Refer to definition of Article 1).
• 4.2 You warrant that all information you submit in connection with our Games and Services is true, accurate and current.
• 4.3 In using our Games and Services You will need to create an account and game account by filling out a registration form with the required information such as nickname, gender, date of birth, email and password, subject to the following conditions.
   (1) Create a contributor account : Your email is your account ID. As the creator of your own account, You are fully responsible for your identity. GGV will not accept accounts that contain offensive, vulgar, obscene, impolite, or other offensive language.
   (2) Nickname : You must create a nickname to identify yourself with other users. Your nickname must
    a. not be the same or similar to another user's nickname;
    b. do not infringe or affect the rights of any third party, including but not limited to Intellectual Property Rights;
    c. does not cause other users to believe that you are an employee of GGV or Gravity-Korea; and
    d. does not contain offensive, vulgar, obscene, impolite or other inappropriate language.
   (3) Creating a game account : To access every game GGV offers, you will need to create a new game account to identify you with other users playing the same game. Your game account name must
    a. is not the same or similar to another user's nickname;
    b. does not infringe or affect the rights of any third party, including but not limited to Intellectual Property Rights;
    c. does not cause other users to believe that you are an employee of GGV or Gravity-Korea; and
    d. does not contain offensive, vulgar, obscene, impolite or other inappropriate language.
   (4) Account maintenance : You agree to keep the information relevant to your account current at all times.
    (5) Character name, position name, house symbol name, Personal location name and any other name that User can create in accordance with the conditions and methods permitted by GGV ('Other User names') : You can name Other User names when you access and use the Game. You agree that Other User names must
    a. not be the same or similar to another user's nickname;
    b. do not infringe or affect the rights of any third party, including but not limited to Intellectual Property Rights;
    c. not cause other users to believe that you are an employee of GGV or Gravity-Korea; and
    d. Does not contain words that are offensive, vulgar, obscene, impolite or other inappropriate.
    (6) Password at the time of opening your account : You must choose a password. You are responsible for maintaining the confidentiality of your password and for any harm caused by disclosure, whether it was disclosed on your will or not. You also acknowledge that GGV will not ask for your password online or offline except for your login process.
  
• 4.4 You acknowledge that GGV will have the sole right to refuse the creation of your account if we find that:
   (1) an account, nickname or related information submitted to create an account infringes on and affects the rights of other users and third parties, including but not limited to Intellectual property rights and/or
   (2) Your account and nickname contain obscene or profane words
• 4.5 In order to maintain the management system, quality and environment of the Games and Websites, You agree not to take any action that is inappropriate('Improper Action'), and you will not endorse inappropriate contents ('Inappropriate Contents').
  ◆ Improper Action includes, but is not limited to:
   (1) using an item, skill or game environment to annoy, abuse or embarrass other users.
   (2) repetition of one phrase or another.
   (3) Promoting any game, business, website or organization not associated with GGV.
   (4) the use of third-party programs not approved by GGV.
   (5) selling or buying other items or in-game currency from places other than Website with real currency.
   (6) disclosure of your account information or other users' account information. This may cause damage or problems to GGV and other users.
   (7) posting or transmitting unsolicited advertisements in the advertising media. promotion or other forms of solicitation, such as collecting or exploiting accounts or other information without the prior permission of another user.
   (8) failure to report any illegal exploits or game bugs to GGV.
   (9) unauthorized Substitution of Game Players and Orders from GGV employees
   (10) illegally hosting or playing our Games on private servers.
   (11) to avoid using message filters in conversations or intentionally referring to a conversation blocked through a message filter.
   (12) disclosure or threat of disclosure of personal information of another user or GGV employee. and/or
   (13) disclosure of deficiencies, exploit or provide advice on how to take improper actions (see above) with other users.
  ◆ Inappropriate Contents including but not limited to the following contents:
   (1) information, speech or content blocked by conversation filters.
   (2) conversations, names, icons, images or content used to harass, abuse or embarrass other users.
   (3) conversations, names, icons, images or content used for advertising, promotion or references to sexual activities and devices.
   (4) conversations, names, icons, images or content used to promote racial, ethnic, national discrimination or hatred, religion, political organization or other organizations.
   (5) dialogues, names, icons, images or content used for advertising, promotion or advocacy of illegal activities or things.
   (6) dialogues, names, icons, images or content used to impersonate other users or employees of GGV.
   (7) any name, icon, image or content that infringes on the intellectual property rights of others.
   (8) anything that indicates that you have received special treatment or a special relationship with GGV employees.
   (9) any other contents used to insult, maliciously or disseminate rumors about GGV, GGV employees, GGV Games, or GGV Services.
  
• 4.6 User agrees to use our Games, Website and Services for legitimate purposes only, and agree not to be involved in any unacceptable act of violence as set forth below:
   (1) infringement of intellectual property rights of GGV and Gravity-Korea.
   (2) use of any software, program, script, computer or anything illegal when using our Games, Services and Website.
   (3) posting or transmitting sexually explicit and illegal content or links or anything related thereto.
   (4) promoting, referring to or supporting illegal conduct or activity.
   (5) releasing or threatening to release other users' personal information.
   (6) Impersonating another person, including but not limited to, GGV employees.
   (7) posting or disclosing the information that contains malware, viruses, trojans, worms, etc.
   (8) deceiving other users in order to obtain game items, money or any other items in the Game;
   (9) writing messages or sending chain letters or pyramid schemes. Such prohibited acts include, but are not limited to, sending letters or messages to offer products or services including other illegal acts.
   (10) writing too many message boards at once and/or sending unsolicited emails(sometimes referred to as 'spam') to multiple addresses.
   (11) knowingly or unintentionally violating the laws in force in Hong Kong.
  
• 4.7 You acknowledge and agree that
   (1) if you fail to comply with Article 4.1 and 4.6, GGV will terminate your user account and other related accounts.
   (2) If you fail to comply with Articles 4.2 to 4.5, GGV will apply the following sanctions at its discretion, depending on the severity of your offense.
    a. remove inappropriate or offensive content.
    b. restrict and/or filter unsolicited email on or through our Games or Services.
    c. warn to stop doing any act that violates this TOS.
    d. temporarily suspend the game account and/or other related game accounts.
    e. remove items, money, level of your game character.
    f. suspend access to the forum.
    g. temporarily suspend your account.
    h. suspend the right to create a new game account.
    i. suspend the game account permanently.
    j. cancel the user account and all game related accounts.
  

5. User's Duties on Intellectual Property

• 5.1 You acknowledge and understand that GGV and Gravity-Korea owns, or holds licenses of, all intellectual property rights relating to the Games and Services on or through Website. They are owned and licensed by GGV and Gravity-Korea.
• 5.2 Unless otherwise authorized in writing by GGV or Gravity-Korea, You agree not or allow others to do the following:
   (1) copy, modify, modify, modify, translate, transcode, combine, create derivative work;
   (2) decompile, disassemble, reverse engineer, or obtain source code of the Game;
   (3) distribute, sublicense, lease or otherwise transfer your account;
   (4) receive any benefit for yourself or for another person; and/or
   (5) perform any act that infringes and affects any intellectual property rights of other person.

6. Service fee and payment

• 6.1 Fees and Billing Methods. Current fees and billing methods for product purchases and our services are announced in the Billing Methods section of the Website, and under Payment Policy Separately, all fees must be paid in local currency of the country where the service is been used.
• 6.2 Taxes. If your purchase of the Products or the use of the Services are subject to taxes on your use or purchase, GGV will collect those taxes on you. This will be in addition to the rates and fees posted in the Billing Methods section of the Website.
• 6.3 Credit card payment. If you pay for our products and services via credit card, You represent that you are an authorized user of that credit card. You agree to notify GGV immediately of any changes to your credit card number, expiration date and/or billing address. And you agree to notify GGV as soon as your credit card expires or is canceled for any reason.
• 6.4 Changes. GGV may from time to time change its fees and billing methods. All changes will be posted on the Website and will become effective thirty (30) days from the date of publication. The changes of Payment policy of the Website will be informed from time to time. If you are unable to accept any changes, you may opt-out as set forth in Article 7. Your use of the Games and Services will imply your acceptance of the modified terms.
• 6.5 Other matters. You acknowledge that
   (1) You are responsible for all expenses incurred under your account, whether the cost is approved by you or not
   (2) Prepaid points or credits cannot be refunded, whether in whole or in part

7. Termination.

• 7.1 You or GGV may terminate your account at any time for any reason, without incurring any obligations to the other party. In addition, GGV reserves the right to terminate the service at any time, without causing an obligation to you
• 7.2 If the Service or your account is terminated or terminated at any time and for any reason, you agree that
   (1) You are not entitled to a refund or part of a product such as points and game items.
   (2) You will lose the developed character and Items and points collected or purchased
   (3) You may not access the Game or the Services in any manner or for any reason, including through other accounts
   Unless expressly authorized by GGV, GGV will terminate any other related accounts that use the same information as the terminated account, such as name, telephone number, email address, postal code or credit card number.

8. Denial of Liability

• 8.1 You acknowledge and agree that The provision of the Games and Services is based on 'conditions' and 'availability' of the Games and Services, therefore GGV disclaims all warranties and representations, including but not limited to the following cases:
   (1) the quality of the operation
   (2) free of intellectual property infringement
   (3) defects
   (4) readiness for certain purposes
   (5) free from defects or harmful components such as viruses, trojans.
• 8.2 You acknowledge and agree that products and downloaded content or anything else obtained through your use of our Games and Services at your own discretion, and you will be liable for any damage to your computer system and data resulting from downloading or receiving anything.
• 8.3 You acknowledge and agree that GGV will not and cannot filter real-time communications in the Games and Services.
• 8.4 You acknowledge and agree that the Games and Services may be interrupted for periodic, scheduled maintenance or other events without notice.
• 8.5 You acknowledge and agree that the Games and Services may be disrupted for reasons beyond GGV's control, such as government actions, explosions, protests or bans.

9. Limitation of Liability

• 9.1 You acknowledge and agree that GGV will not be liable for indirect, incidental or special damages or consequential damage, including but not limited to loss of business profits, business interruption loss of business data or other financial losses in connection with the Games and Services on or through Website.
• 9.2 You acknowledge and agree that full responsibility assumed by GGV for defects found in games, services and software designed and developed by GGV and Gravity-Korea or from our selected media shall be limited to the total amount you have paid for the defective game or service.

10. Indemnification

You agree to indemnify, defend, and hold harmless GGV and its affiliates or group companies, including directors, officers, shareholders, employees, agents, customer service providers, customers and contractors, from losses, claims, costs and expenses (including reasonable legal fees) confirmed by a third party arising out of or arising out of or in connection with the use of or any of your actions in the Games and Services, your content or by your breach of the terms and conditions of this TOS, or by infringement of the rights of other users.

11. Amendments

This TOS may be revised or changed at any time in our sole discretion, and such amendments shall become effective immediately upon the posting of such revisions on our website. The User agrees to review this TOS by visiting our website regularly, to be aware of the changes. If any changes not accepted, the user may terminate this TOS. Continued use of the Services after the amendment has been announced will imply acceptance of the amendment.

12. Privacy

In order to provide our games and services, GGV may ask you to submit your personal data to us, therefore GGV has enacted a privacy policy. To clarify the details of measures against privacy, please read the Privacy Policy to understand how GGV stores, records, uses and distributes your personal information, in detail before subscribing to our Games and Services

14. Scope of Service

GGV will not provide any game and service to European users. If you have just obtained citizenship or for whatever reason you are European users after you register, you must without delay provide GGV of that fact to GGV to terminate your access to our Games and Services.

15. All agreement

This TOS constitutes the entire agreement between you and GGV and supersedes all prior communications, negotiations and agreements.

16. Governing Law and Dispute Resolution

• 16.1 This TOS is governed by and construed in accordance with the laws of Hong Kong.
• 16.2 Any disputes and claims arising or in connection with this TOS or its interpretation, enforcement, performance and infringement shall be referred to, and shall be settled by, the courts of Jurisdiction in Hong Kong to resolve such disputes.

This TOS has been prepared in English language.
